Good Optics Design Co. Terms & Conditions
Last Updated: September 23, 2026
These Terms & Conditions (“Terms”) govern your purchase and use of design, website, and related subscription services provided by Logos By Nick LLC, doing business as Good Optics Design Co. (“Good Optics,” “we,” “us,” or “our”).
By purchasing a Good Optics subscription, accessing a Good Optics client workspace, or using our services, you (“Client,” “you,” or “your”) agree to these Terms.
Good Optics is operated by Logos By Nick LLC, located at 1700 Market Street, Suite 1005, Philadelphia, PA 19103.
1. Subscription Services
Good Optics provides ongoing creative services through monthly subscription plans.
Services may include graphic design, website design and implementation, website management, and other services accepted by Good Optics and described in these Terms.
Available plans may differ in features including the number of Active Projects, Brand Profiles, creative consultations, file-retention periods, and other benefits described on the Good Optics website at the time of purchase.
Your subscription permits you to submit an unlimited number of eligible requests to your project queue while your subscription remains active. “Unlimited” does not mean that an unlimited number of projects will be worked on simultaneously.
The number of projects that may be actively worked on or managed at any given time is determined by your subscription plan.
Unused service capacity, consultations, Active Project capacity, or other subscription benefits do not accumulate or roll over between billing periods.
2. Active Projects and Project Queue
An “Active Project” is one individual project, deliverable, or ongoing service that Good Optics is currently working on or actively managing for the Client.
Current plans permit the following number of simultaneous Active Projects:
- Essential: 1 Active Project
- Business: 2 Active Projects
- Agency: 3 Active Projects
Clients may submit an unlimited number of additional eligible requests to their queue while maintaining an active subscription. Requests exceeding the plan’s Active Project allowance will remain queued until capacity becomes available.
A Client may request that queued projects be reprioritized.
Each Active Project ordinarily represents one defined deliverable, project, or ongoing service. Multiple unrelated deliverables submitted together may be separated into individual projects at Good Optics’ reasonable discretion.
Large or ongoing projects may occupy an Active Project position for an extended period, including multiple weeks or billing periods.
Only requests associated with an active, paid subscription will be worked on. If a subscription expires or is canceled before all queued requests have been completed, Good Optics has no obligation to complete remaining queued projects after the paid service period ends.
3. Brand Profiles
A Brand Profile represents one distinct business or brand identity for which requests may be submitted.
Current plans include:
- Essential: 1 Brand Profile
- Business: 2 Brand Profiles
- Agency: 5 Brand Profiles
Clients requiring additional Brand Profiles may contact Good Optics regarding custom pricing.
A Brand Profile may include the brand’s logos, colors, fonts, brand guidelines, visual assets, website information, reference materials, and other information used by Good Optics to perform services.
A subscription may only be used to request work for the Brand Profiles included with that subscription. A Brand Profile may not be used to obtain services for unrelated businesses, organizations, individuals, or third parties.
Multiple locations, departments, campaigns, or initiatives operating under substantially the same brand identity will not necessarily constitute separate Brand Profiles. Good Optics reserves reasonable discretion to determine whether a request represents a separate brand.
Agency subscribers may use their included Brand Profiles for their own clients and may provide eligible completed Good Optics work to those clients on a white-label basis, subject to these Terms.
4. Turnaround Times
Good Optics aims to provide initial deliveries for most standard design requests within two business days after the project becomes active.
Good Optics aims to complete most standard design revision requests within one business day.
These turnaround periods apply primarily to standard graphic design requests and are targets and estimates, not guarantees.
Website projects, website management tasks, large projects, complex requests, and requests involving technical troubleshooting may require substantially more time.
For purposes of these Terms, Good Optics service days are Monday through Saturday, excluding Sundays and U.S. federal holidays. Timeframes are calculated according to Eastern Time (ET) and Good Optics’ regular service hours of 8:00 a.m. to 6:00 p.m. ET.
Requests submitted outside regular service hours may be treated as received on the next applicable service day.
Project complexity, incomplete instructions, delayed Client responses, technical problems, third-party systems, unusually high request volume, or circumstances outside Good Optics’ reasonable control may affect delivery times.
5. Large and Complex Projects
Some projects reasonably require more time than the standard turnaround period.
Examples may include, but are not limited to:
- websites;
- lengthy reports and multi-page documents;
- ebooks;
- large presentations;
- extensive packaging systems;
- detailed illustrations; and
- other unusually complex or labor-intensive projects.
Large projects may be divided into stages, milestones, or multiple deliverables at Good Optics’ discretion.
A large project may occupy an Active Project position for several weeks or an entire billing period. Particularly large projects may continue across multiple billing periods.
The time required will depend upon the scope of the project. Good Optics may provide an estimated schedule before or after accepting a large project into production.
6. Revisions
Good Optics subscriptions include unlimited revisions to eligible Active Projects, subject to these Terms.
A revision means a modification to existing work within the project’s original scope and creative direction.
A request for a substantially different concept, deliverable, functionality, format, creative direction, or project may be classified as a new request rather than a revision.
Good Optics reserves reasonable discretion to determine whether requested changes constitute a revision, new project, or additional scope.
If a Client requests revisions or changes to a previously completed project, that project may be reopened and again count toward the Client’s Active Project allowance.
When necessary, other Active Projects may be paused while the reopened project occupies an available Active Project position.
There is no fixed numerical limit on revisions that legitimately remain within the project’s original scope.
7. Creative Consultations
Certain subscription plans include scheduled creative consultations.
Each consultation may last up to 30 minutes and may be conducted by telephone, video conference, or another communication method made available by Good Optics.
Consultations must be scheduled at least one day in advance and are subject to availability.
Unused consultations expire at the end of the applicable billing period and do not roll over.
Clients may arrive up to 15 minutes late for a scheduled consultation; however, the consultation will ordinarily still end at its originally scheduled time. A Client who fails to attend or arrives more than 15 minutes late will be considered a no-show.
A consultation lost due to a no-show will not be rescheduled or credited toward a later billing period.
8. Scope of Services
Good Optics provides creative and related services within the scope described on our website, these Terms, and the applicable subscription plan.
Services may include:
- branding and identity design;
- marketing and print design;
- digital and social media graphics;
- reports and documents;
- packaging and merchandise graphics;
- website design and implementation;
- website management and maintenance; and
- other services accepted by Good Optics.
Unless expressly agreed otherwise in writing, subscriptions do not include:
- commercial printing or manufacturing;
- custom software or web application development;
- advanced or custom programming;
- complex ecommerce development;
- complex third-party systems or integrations;
- copywriting;
- video production or editing;
- motion graphics or animation;
- 3D design or rendering;
- photography;
- dedicated server or systems administration; or
- services Good Optics reasonably determines fall outside the normal scope of its subscription services.
Good Optics reserves the right to decline any request or require a separate agreement or quotation for work falling outside the subscription service.
9. Website Design and Implementation
Good Optics may design and build websites for Clients whose website requirements fall within the scope of services Good Optics supports.
Website services are intended primarily for standard business and informational websites using platforms, content-management systems, themes, plugins, page builders, and technologies supported by Good Optics.
Website projects are generally larger than standard graphic design requests and are not subject to standard design turnaround targets.
A website project occupies one Active Project position while Good Optics is actively designing, building, configuring, testing, or preparing the website for launch.
Depending on scope, a website project may occupy that position for most or all of a billing period and may extend across multiple billing periods.
Good Optics may divide website projects into stages or milestones.
Unless otherwise agreed, Clients are responsible for providing the text, photographs, product information, legal disclosures, policies, credentials, and other content reasonably necessary to complete the website.
Delays in providing required materials, approvals, credentials, or feedback may delay completion.
Website design does not automatically include ongoing website management after the website has been completed or launched.
10. Website Management and Maintenance
Good Optics may provide ongoing website management for websites built by Good Optics and for other websites that Good Optics agrees to manage.
Existing websites are subject to review and approval before Good Optics accepts responsibility for ongoing management.
Website management may include, as applicable:
- WordPress core updates;
- theme and plugin updates;
- routine website maintenance;
- backups;
- troubleshooting;
- minor content updates;
- minor layout or design changes;
- monitoring and resolving ordinary website issues; and
- other routine website-management tasks accepted by Good Optics.
While ongoing website management remains active, the managed website occupies one Active Project position under the Client’s subscription.
This Active Project position remains occupied because Good Optics maintains ongoing responsibility and availability for the website, even during periods when the website does not require active work.
While ongoing website management remains active, the managed website continuously occupies one Active Project position under the Client’s subscription, regardless of whether maintenance or troubleshooting is required on a particular day. This capacity is reserved so Good Optics can remain available to maintain, update, and respond to issues affecting the managed website as needed.
Ongoing website management cannot be temporarily paused to make the occupied Active Project position available for another request. To free that position, the Client must discontinue website management. Clients who require continuous website management while other design projects are being completed must maintain a subscription plan with sufficient additional Active Project capacity.
Website management does not include unlimited redesigns, custom programming, major new functionality, large-scale content entry, complex integrations, server administration, emergency remediation of pre-existing problems, or other work Good Optics determines to be outside routine management. Such work may occupy an additional Active Project position, be handled as a separate project, or require separate pricing.
11. Website Hosting, Domains, and Third-Party Services
Websites depend upon third-party products and services that may include hosting providers, domain registrars, WordPress, themes, plugins, APIs, email providers, analytics services, payment processors, security services, and other technology.
Unless expressly stated otherwise in writing, fees charged by third-party providers are not included in the Good Optics subscription.
Clients remain responsible for maintaining necessary third-party accounts, subscriptions, licenses, domain registrations, hosting plans, and payment methods unless Good Optics expressly agrees to provide or manage them.
Good Optics does not control third-party providers and cannot guarantee their continued availability, compatibility, security, functionality, pricing, or performance.
Changes, outages, discontinuations, vulnerabilities, compatibility problems, or other failures involving third-party products or services may affect a Client website.
Good Optics will make reasonable efforts within the applicable service scope to assist with such issues but does not guarantee that every third-party issue can be resolved.
12. Website Security, Backups, and Availability
Good Optics will exercise reasonable care when performing website management and maintenance but cannot guarantee that any website will be uninterrupted, error-free, secure, or immune from hacking, malware, data loss, software vulnerabilities, hosting failures, or other technical problems.
Updates to WordPress, themes, plugins, hosting environments, or other components may occasionally cause unexpected compatibility or functionality problems.
Where backup services are included or configured, backups are intended as a recovery measure and do not constitute a guarantee that all website data can always be restored.
Clients should maintain independent copies of business-critical information and data where appropriate.
Good Optics is not responsible for outages, security incidents, data loss, or other failures caused by third-party providers, unsupported or obsolete software, Client actions, compromised Client credentials, malicious third parties, or circumstances outside Good Optics’ reasonable control, subject to applicable law.
13. Website Access and Credentials
Clients may be required to provide Good Optics with administrative credentials or access to websites, hosting accounts, domain registrars, databases, third-party services, or other systems necessary to perform requested services.
The Client authorizes Good Optics to access and make reasonable changes to such systems for the purpose of providing the requested services.
Clients are responsible for ensuring that they have authority to grant such access.
Good Optics will use reasonable measures to safeguard credentials provided to it but Clients remain responsible for maintaining appropriate account security and notifying Good Optics if access should be revoked or changed.
14. Third-Party and Stock Assets
Good Optics may incorporate properly licensed stock photographs, illustrations, fonts, templates, graphics, software components, themes, plugins, or other third-party materials (“Third-Party Assets”) into Client work where appropriate.
Stock assets included with a subscription are provided only for incorporation into Good Optics projects. A subscription does not provide access to any stock library and does not entitle Clients to request, download, redistribute, resell, or otherwise obtain standalone stock assets through Good Optics.
Third-Party Assets remain subject to the licenses and intellectual-property rights of their respective owners.
Good Optics cannot transfer ownership or grant rights beyond those permitted by the applicable third-party license.
Where a Third-Party Asset requires additional licensing or recurring fees beyond what Good Optics normally provides, Good Optics may require the Client to purchase or maintain the necessary license separately.
15. Client-Provided Materials
Clients may provide Good Optics with photographs, logos, trademarks, fonts, copy, illustrations, graphics, data, website content, software, credentials, or other materials for use in their projects.
By providing such materials, the Client represents and warrants that the Client owns them or otherwise possesses all permissions, licenses, and rights necessary for Good Optics to use them as instructed.
The Client is responsible for claims arising from materials supplied without appropriate authorization.
Good Optics is not responsible for determining whether Client-provided materials infringe the copyright, trademark, privacy, publicity, contractual, or other rights of a third party.
16. Intellectual Property and Ownership
Subject to full and valid payment, Good Optics assigns to the Client Good Optics’ ownership rights in final, custom creative work created specifically for the Client and delivered as a completed project.
This transfer does not include:
- Third-Party Assets;
- stock photography or illustrations;
- fonts subject to third-party licenses;
- third-party themes, plugins, software, or code;
- open-source software;
- pre-existing Good Optics materials;
- reusable tools, methods, templates, systems, or components;
- unused concepts;
- rejected concepts or drafts;
- internal working materials; or
- other intellectual property Good Optics does not own or does not have the right to transfer.
Applicable Third-Party Assets and software remain governed by their respective licenses.
If payment for services is reversed, charged back, disputed successfully, or otherwise invalidated, rights granted by Good Optics in connection with that payment are revoked to the extent permitted by law until payment is restored.
17. Commercial Use
Subject to these Terms and applicable third-party licenses, completed custom work transferred to the Client may be used for commercial purposes.
Agency subscribers may deliver eligible completed work to their clients, including on a white-label basis.
Agency subscribers remain solely responsible for their relationships, representations, agreements, and obligations to their own clients.
18. Trademarks and Logo Designs
Good Optics provides creative design services and does not provide legal advice, trademark searches, trademark clearance, registration services, or guarantees regarding the availability or registrability of any name, logo, slogan, symbol, or other mark.
The Client is solely responsible for determining whether a proposed name, logo, or other design may legally be used or registered.
Clients should consult a qualified trademark attorney when trademark availability or registration is important.
19. Portfolio and Promotional Use
Unless the Client requests confidentiality, Good Optics may display completed creative work, including screenshots or visual representations of completed websites, in its portfolio, website, social media accounts, case studies, advertising, and other promotional materials.
We understand that some projects are private, confidential, unreleased, or otherwise unsuitable for public display.
Clients who require confidentiality may notify Good Optics before work is publicly displayed. Good Optics will honor reasonable confidentiality requests regarding display of Client work.
This does not transfer ownership of Client work back to Good Optics; it merely permits Good Optics to display eligible work for promotional purposes unless confidentiality has been requested.
20. Client Workspaces and Acceptable Use
Good Optics may provide Clients with access to a private online Workspace for submitting requests, exchanging files, reviewing work, requesting revisions, communicating with designers, and accessing completed projects.
The Workspace is provided specifically for Good Optics-related services and communications. It is not a general-purpose storage or communications service.
Clients may not use the Workspace to store or distribute unrelated, illegal, infringing, malicious, fraudulent, abusive, or harmful material; attempt unauthorized access to Good Optics systems or other Client accounts; or interfere with the operation or security of the service.
Good Optics may remove content or restrict Workspace access when reasonably necessary to protect its systems, personnel, Clients, or third parties.
21. Workspace Accounts and Communications
Unless otherwise stated in the applicable plan, each subscription includes one Client Workspace account.
The subscribing Client may authorize members of its organization or team to use that account for legitimate subscription-related purposes.
The Client is responsible for controlling access to the account and for requests, revisions, approvals, communications, file activity, and other actions performed through it.
The Client must promptly notify Good Optics if it believes its account has been accessed without authorization.
Communications and approvals submitted through the Workspace by an authorized Client account may be relied upon by Good Optics in performing services.
22. Project File Retention
Good Optics provides temporary project-file retention according to the Client’s subscription plan.
Current retention periods for active subscriptions are:
- Essential: rolling 90-day retention
- Business: rolling 6-month retention
- Agency: rolling 1-year retention
These are rolling retention periods while the applicable subscription remains active. Files exceeding the applicable retention period may be permanently deleted without notice.
If a subscription is canceled or otherwise ends, Client Workspace files may be scheduled for deletion within two weeks after the subscription ends, regardless of the plan’s normal retention period.
Clients should download all files they wish to retain before the applicable retention period expires.
Good Optics is not a permanent file-storage or backup service, and Clients are responsible for maintaining their own copies of important files.
Deleted files may not be recoverable.
Website backups maintained as part of an active website-management service may be governed by separate technical retention schedules and should not be considered permanent archival storage.
23. Client Review and Approval
The Client is responsible for carefully reviewing all proofs, websites, content, and final deliverables before approving, publishing, printing, manufacturing, distributing, launching, or otherwise using them.
This includes checking, as applicable, spelling and grammar, contact information, prices and dates, dimensions, URLs, QR codes, legal or regulatory text, colors, imagery, website content, links, forms, and Client-supplied information.
Client approval constitutes confirmation that the Client has reviewed and accepted the applicable work.
Good Optics is not responsible for costs or damages resulting from errors the Client approved or failed to identify during review, to the extent permitted by law.
24. Printing and Manufacturing
Unless separately agreed in writing, Good Optics provides design files only and does not provide printing, manufacturing, fabrication, installation, or other physical production services.
Colors displayed on screens may differ from printed or manufactured output because of differences in displays, inks, materials, color profiles, printing processes, and production equipment.
Good Optics is not responsible for errors, delays, color variations, production tolerances, material defects, installation issues, or other problems caused by third-party production providers.
Clients are responsible for confirming production specifications with their chosen vendor before authorizing production.
25. Billing and Automatic Renewal
Subscription fees are billed monthly in advance.
By purchasing a subscription, the Client authorizes Good Optics and its payment processor to automatically charge the applicable subscription fee and any applicable taxes or authorized charges to the Client’s payment method each billing period.
Subscriptions automatically renew each month until canceled.
If a renewal payment fails, Good Optics may suspend work, website management, subscription benefits, and/or Workspace access until payment is successfully received.
Good Optics is not required to perform work or provide ongoing website management during a period in which payment is overdue.
26. Refund Policy
Subscription payments are eligible for a refund only when:
- the refund is requested within five days of the applicable transaction; and
- Good Optics has not provided any design work, website work, website management, revisions, or creative consultations in connection with that payment.
Once Good Optics has begun providing services associated with the billing period, the payment is non-refundable except where required by law or where Good Optics expressly provides otherwise under these Terms.
No partial refunds are provided when a Client voluntarily cancels a subscription.
27. Cancellation
Clients may cancel their subscriptions at any time through their account on the Good Optics website.
Cancellation takes effect at the end of the Client’s current paid billing period. The subscription will not renew after that date.
Clients may continue using applicable subscription services through the end of the paid period, subject to these Terms.
Cancellation does not entitle the Client to a prorated refund for unused time, Active Project capacity, consultations, queued requests, or other unused benefits.
Subscriptions cannot be paused. A Client wishing to stop service must cancel and may purchase a new subscription later, subject to then-current pricing, availability, and Terms.
Any projects remaining in the queue when the paid subscription period ends will not be completed unless the Client again maintains an active subscription.
If Good Optics is actively managing a Client website, ongoing website-management responsibility ends when the applicable paid service period ends, unless the parties expressly agree otherwise in writing.
Clients are responsible for arranging continued website maintenance, hosting administration, security monitoring, backups, updates, and other ongoing services after Good Optics’ management responsibility ends.
Where reasonably practicable, Good Optics will provide or restore appropriate Client access to systems under Good Optics’ control that the Client is entitled to retain.
28. Termination by Good Optics
Good Optics reserves the right to suspend or terminate a subscription or Client relationship for reasons including nonpayment, fraud, chargebacks, harassment or threats, unlawful requests, misuse of the subscription, unauthorized system access, material violation of these Terms, or other conduct Good Optics reasonably determines makes continuation inappropriate.
Where Good Optics terminates a subscription for reasons other than Client misconduct, nonpayment, fraud, abuse, or violation of these Terms, Good Optics will provide a prorated refund corresponding to the unused portion of the current prepaid billing period.
Where termination results from Client misconduct, fraud, nonpayment, abuse, chargebacks, illegal activity, or material violation of these Terms, Good Optics may deny a refund to the extent permitted by law.
If website-management services terminate, Good Optics will have no continuing obligation to monitor, maintain, update, secure, troubleshoot, or administer the Client’s website after the effective termination date.
29. No Rollover of Subscription Capacity
Good Optics subscriptions provide access to service capacity during the applicable paid billing period.
Unused Active Project capacity, design time, website-service capacity, consultations, or other unused benefits have no cash value and do not accumulate or roll over.
A Client who submits no requests during a billing period remains responsible for the full subscription fee for that period.
30. Service Availability
Good Optics will make reasonable efforts to provide reliable and timely services but does not guarantee uninterrupted availability of its website, Workspace, communications systems, Client websites, hosting providers, third-party platforms, or other technology.
Temporary outages, maintenance, internet failures, software bugs, third-party interruptions, security incidents, compatibility problems, or circumstances beyond Good Optics’ reasonable control may affect availability or delivery times.
Good Optics will make reasonable efforts within the applicable scope of service to address issues under its control and minimize disruption.
31. Disclaimer of Warranties
Good Optics will perform its services in a professional manner consistent with the nature of the services described in these Terms.
Except as expressly stated and to the fullest extent permitted by applicable law, Good Optics makes no additional warranties, express or implied, regarding the services or their suitability for any particular business, marketing, legal, financial, technical, printing, manufacturing, or commercial purpose.
Good Optics does not guarantee that any design, website, marketing material, or other service will produce particular sales, search rankings, website traffic, conversions, audience response, business results, trademark registration, regulatory approval, uninterrupted operation, security outcome, or other result.
Nothing in this section limits any warranty or right that cannot lawfully be excluded.
32. Limitation of Liability
To the fullest extent permitted by applicable law, Good Optics and Logos By Nick LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the services, including lost profits, lost revenue, lost business opportunities, loss of data, website downtime, loss of website traffic, or third-party production costs.
To the fullest extent permitted by applicable law, the aggregate liability of Good Optics and Logos By Nick LLC arising from or relating to the services will not exceed the amount paid by the Client to Good Optics during the three months immediately preceding the event giving rise to the claim.
These limitations do not apply where liability cannot lawfully be limited or excluded.
33. Governing Law
These Terms and any dispute arising from or relating to Good Optics services will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where applicable law requires otherwise.
The parties retain any rights and remedies available under applicable law.
34. Changes to Services, Plans, and Pricing
Good Optics may modify its service offerings, subscription features, plan structures, or pricing from time to time.
Changes to subscription pricing will not be charged retroactively. Where reasonably required, Good Optics will provide existing subscribers notice before a new subscription price applies to a future renewal.
Material changes to these Terms may be communicated through the Good Optics website, Client account, Workspace, email, or another reasonable method.
Continued use of the service after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
35. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
36. Entire Agreement
These Terms, together with the applicable subscription plan details and any additional written agreement expressly entered into between the Client and Good Optics, constitute the agreement governing the Client’s use of Good Optics subscription services.
If a separately signed written agreement expressly conflicts with these Terms, the separately signed agreement will control to the extent of that conflict.
